1. Acceptance of Terms

By accessing or using ClearWork (the "Service"), operated by JumpFast Technologies ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ClearWork is a project management platform designed for agencies and studios. The Service provides tools for project planning, task management, team collaboration, and AI-powered project assistance. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account.
You must notify us immediately of any unauthorised use of your account.
You must be at least 16 years old to create an account.

4. Organisations and Teams

The Service allows you to create and join organisations. When using the Service within an organisation:

Organisation administrators have control over organisation settings, member access, and data.
Your contributions (projects, tickets, comments) within an organisation are owned by the organisation.
If you leave or are removed from an organisation, you may lose access to content you created within that organisation.
Organisation administrators may have the ability to access, modify, or delete your contributions.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations.
Infringe on the intellectual property rights of others.
Upload malicious code, viruses, or harmful content.
Attempt to gain unauthorised access to the Service or other users' accounts.
Use the Service to send spam or unsolicited communications.
Interfere with or disrupt the Service or its infrastructure.
Use automated tools to scrape, crawl, or extract data from the Service without permission.
Use the Service for any purpose that is fraudulent or deceptive.

6. Your Content

You retain ownership of the content you create through the Service ("Your Content"). By using the Service, you grant us a limited licence to:

Store, display, and transmit Your Content as necessary to provide the Service.
Process Your Content through AI features when you choose to use them.
Create backups of Your Content for data protection purposes.

We do not use Your Content to train AI models. AI features process your data only to provide you with the requested output.

7. Shareable Links

The Service allows you to create shareable links for projects. You are responsible for managing access to shared content, including setting and maintaining passwords where applicable. We are not liable for any unauthorised access resulting from shared links.

8. AI Features

The Service includes AI-powered features such as project kickstart, ticket breakdown, and summarisation. AI-generated content is provided as suggestions and may not always be accurate or suitable for your needs. You are responsible for reviewing and validating any AI-generated content before acting on it. AI features may be subject to usage limits based on your subscription plan.

9. Payment and Subscriptions

Certain features of the Service may require a paid subscription.
Subscription fees are billed in advance on a recurring basis (monthly or annually).
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
We reserve the right to change pricing with reasonable notice. Price changes will apply to the next billing cycle after the notice period.
Refunds are provided at our discretion and in accordance with applicable law.

10. Intellectual Property

The Service, including its design, code, features, and branding, is owned by JumpFast Technologies and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, JumpFast Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless JumpFast Technologies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, and limitations of liability) shall survive.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
